1. SERVICE ACCEPTANCE
THE SERVICE REQUEST is subject to approval by THT ADS.
This acceptance will be confirmed through:
● Service activation.
● Payment of the required initial deposit.
● Submission of the requested emails.
2. SERVICE CONDITIONS
The CLIENT/AFFILIATE explicitly acknowledges and agrees that:
1. Service Scope:
THT ADS solely provides advertising infrastructure (MCC management,
account setup, and technical tools), and does not guarantee specific results
(ROI, reach, conversions or other KPIs).
2. External Factors:
Outcomes depend on variables beyond the control of THT ADS, including
but not limited to:
● Algorithm changes in platforms (Meta Ads, Google Ads, TikTok Ads, etc.).
● Market competition or third-party actions.
● The quality of the product/service promoted by the CLIENT.
3. Limited Liability:
– THT ADS is not responsible for:
● Underperformance or unachieved campaign results.
● Penalties or suspensions imposed by advertising platforms
due to CLIENT policy violations (e.g.:
misleading ads, prohibited content, copyright
infringements).
– The CLIENT is solely responsible for:
● Ensuring that campaigns comply with the respective platform’s
policies.
● Verifying the legitimacy of the advertised products/services.
● The CLIENT releases THT ADS from any liability related to the use of
illicit or undeclared funds.
● In the event of legal investigations arising from such funds, the
CLIENT will bear all legal expenses and reputational damage to THT ADS.
4. Use of Infrastructure
● THT ADS provides only the technical means for campaign
execution.
● Any strategic decision (targeting, creatives, budgets) is the
exclusive responsibility of the CLIENT.
3. CONTRACT DURATION AND COMMITMENT
3.1 Term:
● Open-ended contract with automatic renewal period to

● Except for fixed-term promotions specified in the commercial offer.
3.2 Cancellations:
● Request must be made between the 1st and 10th of the month, with 30 days’ prior notice.

● Requirements:
– Positive balance.
4. MODIFICATIONS TO TERMS
THT ADS reserves the right to modify:
● Prices, billing cycles, or functionalities (with 5 days’
notice).
● Bonuses or promotions.
5. INCIDENT RESOLUTION
● In case of service interruptions, THT ADS will have up to 180 calendar days
to resolve the issue.
● If the issue persists:
– Deposited funds will be converted into non-refundable credit.
– The credit may be used for future services when available.
6. PAYMENTS AND DELINQUENCY
6.1 Initial Deposit (Example):
● $1,500 USD total ($1,000 for ads + $500 as a security deposit, which will be
adjusted based on daily spend).
6.2 Billing:
● Agreed fee commission on advertising spend, including taxes and
service costs.
● Prepaid payment required.
6.3 Delinquency:
● 3% monthly interest on overdue payments.
● Service suspension:
– if available balance drops below 300k
– After 60 days, data deletion without the right to claim.
7. LAWFUL USE AND PROHIBITIONS
The CLIENT/AFFILIATE may not, under any circumstances:
1. Prohibited Content and Activities:
● Distribute malware, spyware, viruses, or any harmful software.
● Publish, promote, or link to pirated, illegal, or unauthorized content
(e.g., cracks, unlicensed software, etc.).
● Advertise pornography, illegal gambling, controlled substances, weapons,
or any illicit activity.
● Use unauthorized scripts, bots, or automation tools that disrupt the
operation of advertising platforms or THT ADS systems.
2. Legal Compliance:
● The CLIENT must comply with all applicable laws (municipal,
regional, national, and international) in the territories where they operate.
● THT ADS will not be held responsible for:
– CLIENT violations of advertising platform policies (Google Ads,
Meta, TikTok, etc.).
– Penalties, bans, or legal actions resulting from deceptive ads,
fraud, or copyright/trademark infringements.
– Violations of data protection laws (GDPR,
CCPA, LGPD, etc.).
3. Platform Policies:
● The CLIENT agrees it is solely responsible for verifying and adhering
to each advertising network’s policies (Google, Meta, etc.).
● THT ADS does not audit or supervise campaign content and is not
liable for suspensions or penalties applied by these platforms.
4. Consequences of Non-Compliance:
● Immediate service suspension without refund of balances or deposits.
● Fund retention if non-compliance results in costs or penalties for
THT ADS.
● Legal action if the CLIENT engages in illegal activities (fraud,
phishing, scams, etc.).
8. INTELLECTUAL PROPERTY
● THT ADS retains rights to proprietary strategies, reports, and tools.
● The CLIENT guarantees that any materials provided (images, text, etc.)
do not infringe on third-party rights.
9. CONFIDENTIALITY
● THT ADS protects CLIENT data
● Will not share information with third parties unless legally required to do so.
10. TERMINATION
● Causes for termination include fraud, delinquency, or policy violations.
● Security deposit: non-refundable in cash.
